The service
Citypicked lets you ask your own customers for reviews by SMS, email, WhatsApp link or QR code, and remind them. On your review page, customers first give a star rating. Depending on your settings, customers are sent on by link to public review sites such as Google, or their feedback goes privately to you. Features depend on your plan.
We do not post anything on review sites, do not write reviews and do not control review sites. Each review site decides on its own whether and how it accepts, shows, filters or removes reviews, and may change its rules or links at any time. You send WhatsApp messages yourself from your own WhatsApp account; we only prepare the link with the text.
We may change, add or remove features at any time. Third-party services you use with the service, including review sites, WhatsApp, payment services and mobile carriers, are governed by their own terms, and we are not responsible for them.
License, your content and feedback
Subject to these Terms and payment of all fees, we grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to use the service during your subscription for your own internal business purposes. The service is licensed, not sold. We and our licensors keep all rights, title and interest in the service, including all software, content, trademarks and data we provide. No rights are granted except as expressly stated in these Terms.
You may not: resell, rent, share or otherwise make the service available to anyone outside your business; copy, modify or create derivative works of it; reverse engineer, decompile or try to extract its source code; access it by automated means other than the ones we offer; use it to build or benchmark a competing product; or remove any notices.
You keep your rights in the content you put into the service, such as your logo, texts and images. You grant us a worldwide, royalty-free license to host, copy, process and display that content as needed to provide and improve the service, and you confirm that you have all rights needed for this. We may use usage data and anonymized, aggregated data for any purpose, also after these Terms end.
If you send us feedback or ideas, we may use them freely without any obligation to you. We may name your business, with its name and logo, as a customer in our marketing until you ask us to stop at support@citypicked.com.
Free trial
We may offer a free trial. Its length (currently 7 or 14 days) and its exact end date are shown before you start it and in the confirmation email. You add a payment method to start the trial. During the trial, features and volumes may be limited.
UNLESS YOU CANCEL BEFORE THE TRIAL ENDS, THE TRIAL CONVERTS AUTOMATICALLY INTO THE PAID PLAN YOU CHOSE, AND WE CHARGE THE PRICE OF THAT PLAN FOR THE FIRST MONTH, OR FOR THE FIRST YEAR ON YEARLY BILLING, TO YOUR PAYMENT METHOD ON FILE. If you cancel before the trial ends, you pay nothing for the plan.
Each business may have one trial. We may refuse a trial or end it early, for example if we suspect misuse; ending a trial early never makes a paid plan start earlier.
Subscription, automatic renewal and cancellation
YOUR SUBSCRIPTION RENEWS AUTOMATICALLY AT THE END OF EACH BILLING PERIOD FOR ANOTHER PERIOD OF THE SAME LENGTH (ONE MONTH OR ONE YEAR, AS YOU CHOSE) UNTIL YOU CANCEL. AT EACH RENEWAL WE CHARGE THE PRICE THEN IN EFFECT FOR YOUR PLAN AND ADD-ONS TO YOUR PAYMENT METHOD ON FILE. There is no minimum term beyond the current billing period.
You can cancel at any time online in the app under Settings, Plan & credits. If you cannot sign in, email support@citypicked.com from the email address of your account. Cancellation takes effect at the end of the current billing period; you keep access until then and are not charged again. We confirm your subscription and your cancellation by email.
Add-ons, such as more locations, renew and end together with your subscription unless something else is shown when you buy them. When you change plans, the billing shown in the app at that time applies; any amount credited is applied to future invoices and is not paid out. If you delete your account, your subscription ends immediately.
Where the law of the place of your business requires a reminder before a renewal or before a trial ends, we send it.
Fees, payment and taxes
Prices are shown on our pricing page and at checkout. Payments are processed by Stripe. You authorize us and Stripe to charge all amounts due, including subscription fees, add-ons, credit packs and automatic top-ups, to your payment method on file, and you keep a valid payment method on file.
Prices do not include taxes. You pay all sales, use, value added, goods and services and similar taxes and duties, except taxes on our income.
ALL FEES AND CHARGES ARE NON-REFUNDABLE, INCLUDING FOR PARTIAL BILLING PERIODS, UNUSED FEATURES OR CREDITS, DOWNGRADES, CANCELLATION, SUSPENSION AND TERMINATION, EXCEPT WHERE THE LAW REQUIRES A REFUND. The only exception: if we terminate your subscription for convenience under “Sending limits, suspension and termination”, we refund the prepaid fees for the unused part of the billing period and the purchase price of unused credits.
If a payment fails, we may retry it, suspend the service and sending, or terminate your subscription. Overdue amounts bear interest at 1.5% per month or the highest rate the law allows, whichever is lower, and you pay our reasonable costs of collection. You must raise any billing dispute within 60 days of the charge; after that the charge is final. If you start a chargeback for a charge that was due, we may suspend your account and charge you the fees and costs it causes.
We may change our prices. We announce changes at least 30 days in advance by email or in the app; they apply from your first billing period that starts after that notice period. If you do not agree, cancel before the change applies. If you keep your subscription, you accept the new price.
SMS credits
You buy credits for SMS in packs. Each SMS uses credits. Credits don't expire while your subscription is active.
The number of credits an SMS uses depends on the destination country and the length of the message and is shown in the app. We may change it for future messages, for example when carrier prices change; we tell you in advance in the app or by email.
Credits are a prepaid right to use the service, not money. They have no cash value, cannot be transferred and are NON-REFUNDABLE. Unused credits lapse without compensation when your account is deleted or terminated, except as stated in “Fees, payment and taxes”.
If you turn on automatic top-up, you authorize us to buy the pack you chose and charge its price to your payment method on file whenever your balance falls below the threshold you chose or an SMS cannot be sent for lack of credits, within the limits shown in the app, until you turn automatic top-up off under Settings, Plan & credits.
Your contacts and messages
You decide whom you contact, when, how often and with what content. You are the sender of every request and reminder, including reminders scheduled automatically and messages started through automation links or uploaded lists. We transmit them on your behalf as a technical service.
You may contact only your own customers, and only with every consent the law requires for the channel and the recipient's location, including prior express written consent where the Telephone Consumer Protection Act (TCPA) or similar laws require it. You keep records of consent and give them to us on request. You honor opt-outs at once and never add unsubscribed contacts again.
You alone are responsible for complying with all laws and rules that apply to your messages, review requests and review pages, including the TCPA, state telemarketing and messaging laws, CAN-SPAM, Canada's Anti-Spam Legislation (CASL), the FTC's rules on consumer reviews and endorsements, data protection laws such as the GDPR, and the policies of review sites, mobile carriers and WhatsApp. You give your customers every privacy notice the law requires.
You decide how to set up your review page, including whether and how you use the star filter, and you are responsible for making sure that your settings and texts comply with the rules of each review site and with the law. We have no duty to review your contacts, settings or content, and nothing we provide is legal advice.
If carriers or authorities require information about you or your messages, for example to register a sender, you provide it completely and accurately. We may hold back sending until then.
Acceptable use
You may not use the service to: message contacts that are bought, rented, exchanged, scraped or otherwise not your own customers; create fake reviews, post reviews by yourself, your staff or people close to you, or collect reviews for anyone else; offer anything in return for a review, such as discounts, gifts or prize draws; send content that is harassing, misleading, defamatory, discriminatory, sexually explicit or unlawful, or that promotes goods or services that mobile carriers do not allow; impersonate anyone or use false sender details; or send phishing, malware or disguised links.
You also may not: get around limits, blocks or security measures; test the service for vulnerabilities or load without our written permission; interfere with the service or with other customers; or use the service if you or your business are subject to US or other applicable sanctions, to send messages to sanctioned countries, or in violation of export control laws.
Sending limits, suspension and termination
We may pause, limit, delay or refuse any message, or all sending by email or SMS, at any time in our sole discretion, for example because of high bounce, complaint or opt-out rates, notices from carriers, delivery services or review sites, or a suspected breach of these Terms. A pause is not a breach by us and does not reduce your fees.
We may suspend or limit your account, in whole or in part, at any time in our sole discretion, with or without notice, including if you breach these Terms, a payment is overdue, the law or an authority requires it, or we believe your use creates a risk for the service, our sending reputation, other customers or third parties. Fees remain due during a suspension.
We may terminate your subscription for convenience with at least 30 days' notice, or at once if you breach these Terms or create a risk described above. You may end your subscription as described in “Subscription, automatic renewal and cancellation”.
When your subscription or account ends, your right to use the service ends, unused credits lapse except as stated in “Fees, payment and taxes”, and all amounts you owe become due at once. Sections that by their nature should survive, including those on fees, customer data, disclaimers, liability, indemnification and disputes, survive.
Customer data
Scope and roles. “Customer Personal Data” means personal data of your customers and other contacts that you put into the service or that arises from your review requests and review pages, such as names, phone numbers, email addresses, ratings, feedback, replies, message content and delivery data. For Customer Personal Data, you are the controller and we are your processor (and your service provider under the California Consumer Privacy Act). We process it for the term of your subscription and until it is deleted under this section, to send your review requests and reminders, run your review pages and show you ratings, feedback and reports.
Instructions. We process Customer Personal Data only on your documented instructions, including with regard to transfers to other countries, unless the law requires otherwise; in that case we tell you before processing unless the law forbids it. These Terms and your use and settings of the service are your complete instructions. We tell you if we believe an instruction infringes data protection law.
Confidentiality and security. We ensure that the people we authorize to process Customer Personal Data are bound by confidentiality, and we take appropriate technical and organizational measures to protect it as required by Article 32 GDPR. We notify you without undue delay after becoming aware of a personal data breach affecting Customer Personal Data.
Subprocessors. You authorize us to use subprocessors, such as our hosting company, payment service and email and SMS delivery services. We tell you in advance about new subprocessors by email or in the app. You may object on reasonable data protection grounds within 14 days; if we cannot address the objection, your remedy is to cancel your subscription. We bind each subprocessor to data protection obligations that match this section, and we remain responsible to you for its performance under these Terms.
Assistance. Taking into account the nature of the processing and the information available to us, we help you respond to requests from data subjects, mainly through the features of the service (such as export, deletion and unsubscribe), and help you meet your obligations on security, breach notification, data protection impact assessments and prior consultation (Articles 32 to 36 GDPR). We may charge for help beyond what the service provides.
Deletion. Until your account is deleted, you can export Customer Personal Data in the app, and data is deleted according to your retention settings. After your account is deleted, we delete Customer Personal Data after the period stated in the app, unless the law requires us to keep it.
Information and audits. We make available the information necessary to demonstrate compliance with this section in the form of written summaries and answers to reasonable questionnaires, once a year. Only where a supervisory authority requires it, or where that information is not sufficient to demonstrate compliance with Article 28 GDPR, may you or an auditor you appoint who is bound by confidentiality audit our compliance, at your cost, with 30 days' notice, during business hours and without access to the data of other customers.
International transfers. We process Customer Personal Data in the United States and in other countries where our subprocessors operate. To the extent the GDPR or the UK GDPR requires safeguards for this, the standard contractual clauses adopted by the European Commission in Decision (EU) 2021/914 (module two, controller to processor) and the UK International Data Transfer Addendum apply and are incorporated by reference. This section supplies their annexes and the general authorization for subprocessors under clause 9(a); clauses 17 and 18 refer to the law and courts of Ireland; the competent supervisory authority under clause 13 is the one competent for you.
California. Where the CCPA applies, we do not sell or share Customer Personal Data, and we do not retain, use or disclose it outside our direct business relationship with you or for any purpose other than providing the service, except as the CCPA allows. We may create anonymized, aggregated data from it.
Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR AVAILABLE AT ANY PARTICULAR TIME, THAT ANY MESSAGE WILL BE DELIVERED, OR THAT YOU WILL GET ANY RESULT, INCLUDING ANY NUMBER OF REVIEWS, ANY RATING, ANY RANKING ON GOOGLE OR OTHER REVIEW SITES, OR ANY VISIBILITY IN SEARCH ENGINES OR AI ASSISTANTS. ESTIMATES, REPORTS AND RECOMMENDATIONS IN THE SERVICE ARE FOR INFORMATION ONLY.
We do not commit to any level of availability. Maintenance, updates, failures of networks, carriers, delivery services or review sites, and events beyond our control may interrupt the service.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS OR VENDORS ARE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, REVIEWS OR RANKINGS, OR COSTS OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE WERE ADVISED OF THEIR POSSIBILITY.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits apply even if a remedy fails of its essential purpose, and they are an essential basis of our prices. They do not limit liability that cannot be limited under applicable law, such as liability for fraud or, where the law does not allow a limit, for gross negligence, willful misconduct, or death or personal injury caused by negligence.
Any claim against us must be brought within one year after it arose, or it is permanently barred, unless the law requires a longer period.
Indemnification
You will defend, indemnify and hold harmless us and our affiliates, officers, employees, agents and vendors from and against all claims, demands, investigations, fines, penalties, damages, losses, settlements, costs and expenses, including reasonable attorneys' fees, arising out of or relating to: your contacts and their data; your messages, content, review pages and settings; your use of the service; your dealings with your customers, review sites or carriers; or your breach of these Terms or of any law, including the TCPA, CAN-SPAM, CASL and data protection laws.
We may control the defense of any such claim with counsel of our choice, and you will cooperate with us. You may not settle any claim that affects us without our prior written consent.
Changes to the service and these Terms
We may change these Terms by posting an updated version on this page. We tell you about material changes at least 30 days before they take effect, by email or in the app; other changes take effect when posted. If you keep using the service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the service and cancel your subscription before the change takes effect.
A change does not apply to a dispute that arose before the change took effect; that dispute is governed by the Terms in effect when it arose.
Arbitration and class action waiver
Please read this section carefully: it affects how disputes are resolved. You and we agree that any dispute, claim or controversy arising out of or relating to these Terms or the service, including their formation, interpretation, scope, validity and enforceability, will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Except as stated below, the arbitrator decides all questions, including whether a dispute is subject to arbitration. The Federal Arbitration Act governs this section.
The arbitration is held before one arbitrator, in English, and is seated in Wyoming, unless both parties agree otherwise; the arbitrator may hold hearings by video or decide on documents only. The award is final and may be entered in any court with jurisdiction. Each party pays its own attorneys' fees, and the AAA's fees are paid as its rules provide, unless the arbitrator decides otherwise under applicable law.
Small claims and urgent relief. Instead of arbitration, either party may bring an individual claim in a small claims court with jurisdiction, as long as the claim stays in that court on an individual basis. Either party may also ask a court for an injunction to stop the infringement of intellectual property or the misuse of the service.
CLASS ACTION AND JURY TRIAL WAIVER. YOU AND WE MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE THE CLAIMS OF DIFFERENT CUSTOMERS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.
A court, not the arbitrator, decides whether the class action waiver is enforceable. If it is found unenforceable for a claim, that claim is severed and decided by a court under “Governing law and venue” after the arbitration of all other claims, and the rest of this section still applies.
Governing law and venue
These Terms and any dispute arising out of or relating to them or the service are governed by the laws of the State of Wyoming, USA, without regard to its conflict of laws rules, and the arbitration agreement is governed by the Federal Arbitration Act. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute that is not subject to arbitration must be brought exclusively in the state or federal courts located in Wyoming. You and we consent to the personal jurisdiction and venue of those courts and waive any objection that they are an inconvenient forum. This does not apply to claims brought in small claims court.
General
We may assign or transfer these Terms, in whole or in part, without your consent, including in a merger, acquisition or sale of assets. You may not assign or transfer them without our prior written consent; any attempt to do so is void.
You agree to receive notices and other communications from us electronically, by email to the address of your account or in the app, and that they satisfy any requirement that communications be in writing. Notices to us must be sent to support@citypicked.com.
We are not liable for any delay or failure caused by events beyond our reasonable control, such as failures of networks, carriers, review sites or vendors, attacks, natural disasters or acts of government.
These Terms, together with the details shown at checkout and our Privacy Policy, are the entire agreement between you and us about the service and replace all prior agreements on it. If any provision is held unenforceable, it is enforced to the maximum extent permitted and the rest remains in effect. Our failure to enforce a provision is not a waiver. The parties are independent contractors, and there are no third-party beneficiaries. These Terms are written in English; any translation is for convenience only. Last updated: November 3, 2026.
